• By accessing or using our Services, you agree to these Terms and our Privacy Policy.
• If you do not agree, you may not use our Services.
• You represent that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

• Our Services are primarily intended for users in the United States and India.
• If you access our Services from outside these regions, you consent to your data being processed according to applicable U.S. or Indian laws.
• Some features may be restricted in certain jurisdictions.

• Our Services leverage AI, ML, and NLP technologies.
• Outputs may be inaccurate, incomplete, unexpected, or offensive.
• Do not rely solely on AI outputs for professional advice (medical, legal, financial, etc.).
• Digital Beings and AI-generated outputs do not reflect our company’s views or values.
• We are not liable for harm caused by reliance on AI responses.

Inputs + Outputs = “Content.”

• You own the content you create or upload, including avatars, prompts, and digital assets.
• By using our Services, you grant us a worldwide, perpetual, royalty-free license to operate, improve, and promote our Services, and to use publicly shared content for model training and platform enhancement.
• For public AI-generated outputs, ownership may be co-shared under platform-wide licenses.
• If you share AI-generated content publicly, you must disclose that it was AI-generated.

• You may create, customize, and share AI-generated Digital Beings.
• You are responsible for the content and behavior of your Digital Beings.
• Prohibited uses include:
  • Harassment, explicit content, misinformation, or abusive behavior.
  • Illegal or harmful interactions.
• You may trade avatars and digital assets within our platform’s Marketplace.
• All trades are governed by our Marketplace Policy and may be subject to platform fees.
• We do not guarantee the value, authenticity, or performance of any traded assets.

You agree not to:

• Use the Services for illegal, abusive, or harmful purposes.
• Reverse-engineer, hack, scrape, exploit, or disrupt our platform or AI systems.
• Automate user-like behavior without our prior approval.
• Use our Services to train competing AI models.
• Submit or process protected health information (PHI) unless you have an active HIPAA BAA with us.

• We value your privacy.
• Our practices for collecting, using, storing, and sharing your data are detailed in our Privacy Policy.
• By using our Services, you consent to our data-handling practices.

• We may update, modify, or discontinue parts of our Services or these Terms at any time.
• Significant changes will be communicated via email, platform notifications, or other appropriate channels.
• Continued use after changes means you accept the updated Terms.

• We own all rights in our technology, models, software, and systems.
• You may not:
  • Claim our AI-generated outputs are fully human-created.
  • Use outputs or tools to build competing platforms.

You agree to defend, indemnify, and hold harmless Digital Beings and its affiliates from any claims, damages, losses, or liabilities arising from:

• Your misuse of the Services.
• Violation of these Terms or applicable laws.
• Content or actions of your Digital Beings.

• Services are provided “as is” and “as available.”
• We make no warranties regarding accuracy, reliability, or suitability of outputs or Services.
• Liability is limited to the greater of INR Rs1,00,000 or the amount you paid us in the last 6 months.
• We are not responsible for indirect or consequential damages, including lost profits, lost data, and service interruptions.

• Most disputes will be resolved via binding arbitration administered by the AAA.
• Class action and jury trial waivers apply.
• Exceptions:
  • Small claims court cases.
  • Requests for emergency equitable relief.
• If your claim is small, arbitration costs may be partially covered.
• These Terms are governed by the laws of India, and disputes shall be resolved in the courts of India.

• We may suspend or terminate your access for violations of these Terms or community guidelines.
• You may terminate your account by providing written notice.
• Provisions relating to intellectual property, indemnification, disclaimers, and liability limits will survive termination.

• We may investigate violations and cooperate with authorities where required.
• We may disclose your content or data to comply with legal obligations, enforcement actions, and claims and regulatory investigations.
